1. Introduction

These Terms and Conditions ("Terms") govern your use of the ereceipt.ng website and services ("the Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Nature of Service

The Platform provides software-as-a-service (SaaS) tools for digital record-keeping and document generation. We are not a professional services firm. We do not provide legal, financial, accounting, tax, or regulatory advice. Your use of the Platform does not create any professional or fiduciary relationship between you and us.

3. User Responsibilities

You are solely responsible for:

• The accuracy and legality of the data you input into the Platform;
• How you use the documents and records generated by the Platform;
• Ensuring your business activities comply with all applicable laws and regulations in your jurisdiction;
• Maintaining the confidentiality of your account credentials.

4. Acceptable Use

You agree not to use the Platform for any unlawful purpose, including but not limited to: fraud, money laundering, tax evasion, or the generation of falsified records. We reserve the right to suspend or terminate accounts suspected of illegal or unauthorized activity without notice.

5. Intellectual Property

The Platform, including its code, design, and branding, is the intellectual property of ereceipt.ng. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your internal business purposes in accordance with these Terms.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available." We expressly disclaim all warranties, whether express or implied. We shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform.

7. Indemnification

You agree to indemnify and hold harmless ereceipt.ng, its officers, directors, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Platform or your violation of these Terms or any applicable law.

8. Modifications and Termination

We reserve the right to modify the Platform, these Terms, or our pricing at any time. Continued use of the Platform constitutes acceptance of modified Terms. We may terminate or suspend your access to the Platform at our sole discretion.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Platform operator is primarily domiciled, or as otherwise applicable under international law, without regard to conflict of law principles.
